Terms of Service

These Terms of Service (“Terms”) govern your use of deeply.tokyo, a service that connects visitors to Japan with local hosts, available at deeply.tokyo and related pages (the “Service”). The Service is operated by susuROBO KK in Japan (“Deeply”, “we”, “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 20 years old to use the Service, which is also the legal drinking age in Japan. Before you can like or message other members, you must pass our identity and age verification. You may not use the Service if we have previously removed you from it.

2. Your account

You can create an account with an email address and password or by signing in with Google. You must give accurate information about yourself, including your name, gender and, for hosts, the places you know, and keep it up to date. You may have only one account. You are responsible for keeping your sign-in credentials secure and for all activity under your account. Tell us promptly at max@deeply.tokyo if you suspect unauthorised use. Accounts are personal and may not be shared, sold or transferred.

3. What Deeply is, and is not

Deeply is a social platform that helps visitors and local hosts find each other based on shared interests, and lets them talk and plan to meet. Meetings are arranged by members themselves.

4. No money between members

Members must not offer, request, give or accept money, gifts of significant value or any other payment or benefit in exchange for meeting, guiding or spending time with another member. Each member pays for their own food, drinks, entry fees and purchases at the venue’s normal prices. Asking for or offering payment, including through “tips” or by asking the other person to pay your bill, is grounds for immediate removal.

5. Meeting other members

You are responsible for your own safety and conduct when meeting other members. We ask that first meetings take place in a public place, such as a station exit or a café, and that you tell someone you trust where you are going. Identity and age verification confirm who a member is and that they are 20 or older; they are not a background check, and we cannot guarantee how any member will behave. Follow Japanese law at all times, including laws on alcohol, drugs, smoking areas and photography.

If something goes wrong, use the report function or email us. In an emergency in Japan, call 110 (police) or 119 (fire and ambulance).

“Your content” means what you add to the Service, including your profile, messages, reviews and reports. You keep any rights you have in your content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, display and process your content as needed to provide, maintain, moderate and improve the Service, as described in our Privacy Policy. Reviews you write may be shown to other members. This licence ends when your content is deleted, except for anonymised or aggregated data and records we must keep for safety or legal reasons.

8. Our content and intellectual property

The Service, including its software, text, images, design and trademarks, is owned by us or our licensors and is protected by law. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own non-commercial purposes, subject to these Terms.

9. Paid features

Creating an account is free. Some features may require payment in the future. If we offer them, their prices and conditions will be shown before you buy, and additional terms may apply.

10. Suspension and termination

You may stop using the Service and ask us to delete your account at any time by emailing max@deeply.tokyo. We may suspend or remove your account, or restrict features, if you breach these Terms, if a report about you needs to be investigated, if required by law, or if needed to protect other members or the Service. Sections that by their nature should survive termination (including 7, 8, 11, 12 and 14) will survive.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied. We do not guarantee that you will find a match, that a meeting will take place, or that information members provide is accurate. Interactions between members, online and in person, are solely between those members.

12. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Service or from the conduct of any member or venue. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim arose or JPY 10,000. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for our wilful misconduct or gross negligence, or rights you have under Japan’s Consumer Contract Act or other mandatory consumer-protection laws.

13. Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page and update the “Last updated” date. If the changes are material, we will notify you by email or in the Service at least 14 days before they take effect. Continuing to use the Service after the changes take effect means you accept them.

14. Governing law and disputes

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute arising from or relating to these Terms or the Service, without prejudice to any mandatory right you have as a consumer to bring proceedings where you live.

15. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. If these Terms are translated, the English version prevails, except where Japanese law requires otherwise.

本利用規約(以下「本規約」)は、日本を訪れるビジターと地元のホストをつなぐサービス deeply.tokyo(deeply.tokyo および関連ページで提供されるものを含み、以下「本サービス」)の利用条件を定めるものです。本サービスは日本のsusuROBO株式会社(以下「Deeply」または「当社」)が運営しています。アカウントを作成し、または本サービスを利用することにより、本規約およびプライバシーポリシーに同意したものとみなされます。同意いただけない場合は、本サービスを利用しないでください。

第1条(利用資格)

本サービスは20歳以上の方のみご利用いただけます(日本の飲酒可能年齢と同じです)。他の会員に「いいね」やメッセージを送る前に、当社所定の本人確認・年齢確認を完了する必要があります。過去に当社により利用を停止された方は、本サービスを利用できません。

第2条(アカウント)

アカウントは、メールアドレスとパスワード、またはGoogleでのログインにより作成できます。名前、性別、ホストの場合は案内できる場所等について正確な情報を登録し、常に最新の状態に保ってください。お一人につき1アカウントまでとします。ログイン情報の管理およびアカウントで行われたすべての行為について、ご本人が責任を負います。不正利用のおそれがある場合は、速やかに max@deeply.tokyo までご連絡ください。アカウントの共有、売買、譲渡はできません。

第3条(本サービスの性質)

Deeplyは、共通の興味をもつビジターと地元のホストが互いを見つけ、やり取りし、会う計画を立てるためのソーシャルプラットフォームです。会う約束は会員同士が自ら行います。

第4条(会員間の金銭授受の禁止)

会員は、他の会員と会うこと、案内すること、または時間を共にすることの対価として、金銭、高価な贈り物その他の報酬・利益を申し出、要求し、授受してはなりません。飲食代、入場料、買い物代は、各自が店舗の通常料金で支払うものとします。「チップ」名目を含め、支払いを求めたり申し出たりすること、または自分の会計を相手に支払わせることは、即時の利用停止の対象となります。

第5条(会員と会う際の注意)

他の会員と会う際の安全および行動については、ご本人が責任を負います。初回は駅の出口やカフェなどの公共の場所で会い、行き先を信頼できる人に伝えてください。本人確認・年齢確認は、会員が本人であることと20歳以上であることを確認するものであり、身元調査ではありません。当社は会員の行動を保証できません。飲酒、薬物、喫煙場所、撮影に関する法令を含め、常に日本の法令を遵守してください。

問題が発生した場合は、通報機能またはメールで当社にお知らせください。日本国内で緊急の場合は、110番(警察)または119番(消防・救急)に連絡してください。

第6条(禁止事項)

会員は、以下の行為をしてはなりません。

第7条(会員のコンテンツ)

「会員のコンテンツ」とは、プロフィール、メッセージ、レビュー、通報など、会員が本サービスに追加するものをいいます。会員のコンテンツに関する権利は会員に留保されます。会員は当社に対し、プライバシーポリシーに記載のとおり、本サービスの提供、維持、監視、改善に必要な範囲で、会員のコンテンツをホスト、保存、表示、処理するための、全世界的、非独占的、無償の利用許諾を付与します。会員が投稿したレビューは他の会員に表示されることがあります。この利用許諾は会員のコンテンツの削除により終了します。ただし、匿名化・集計されたデータ、および安全上または法令上保管が必要な記録を除きます。

第8条(知的財産権)

ソフトウェア、文章、画像、デザイン、商標を含む本サービスに関する権利は、当社またはライセンサーに帰属し、法令により保護されています。当社は会員に対し、本規約に従い、本サービスを個人的かつ非商業的な目的で利用するための、限定的、非独占的、譲渡不能、撤回可能な利用許諾を付与します。

第9条(有料機能)

アカウントの作成は無料です。将来、一部の機能を有料で提供する場合があります。その場合、料金と条件は購入前に表示され、追加の規約が適用されることがあります。

第10条(利用停止・退会)

会員は、max@deeply.tokyo へのご連絡により、いつでも利用を終了し、アカウントの削除を請求できます。当社は、会員が本規約に違反した場合、会員に関する通報の調査が必要な場合、法令により求められる場合、または他の会員や本サービスを保護するために必要な場合、アカウントの停止・削除または機能の制限を行うことがあります。性質上存続すべき規定(第7条、第8条、第11条、第12条、第14条を含みます)は、終了後も効力を有します。

第11条(保証の否認)

法令上認められる最大限の範囲で、本サービスは「現状有姿」かつ「提供可能な範囲」で提供され、明示・黙示を問わず、いかなる保証も行いません。当社は、マッチングの成立、待ち合わせの実現、会員が提供する情報の正確性を保証しません。オンライン・対面を問わず、会員間のやり取りは当該会員間の問題とします。

第12条(責任の制限)

法令上認められる最大限の範囲で、当社は、本サービスの利用または会員・店舗の行為に起因する間接損害、付随的損害、特別損害、結果損害、懲罰的損害、逸失利益、データや信用の喪失について責任を負いません。本サービスに関する当社の責任の総額は、請求の原因が生じる前12か月間に会員が当社に支払った金額または1万円のいずれか高い額を上限とします。ただし、当社の故意または重過失による場合、その他法令上責任を制限できない場合、ならびに消費者契約法その他の強行法規に基づく会員の権利については、本条は適用されません。

第13条(本規約の変更)

当社は、民法の定型約款に関する規定に従い、本規約を変更することがあります。変更後の内容は本ページに掲載し、「最終更新日」を更新します。重要な変更の場合は、効力発生の14日以上前にメールまたは本サービス上でお知らせします。変更の効力発生後に本サービスを利用した場合、変更後の本規約に同意したものとみなされます。

第14条(準拠法・管轄)

本規約は日本法に準拠します。本規約または本サービスに起因または関連する紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。ただし、消費者である会員が居住地の裁判所に訴えを提起する強行法規上の権利を妨げるものではありません。

第15条(一般条項)

本規約の一部が無効と判断された場合でも、その他の部分は引き続き有効とします。当社が権利を行使しないことは、その権利の放棄を意味しません。会員は当社の同意なく本規約上の地位を譲渡できません。当社は、合併、買収、事業譲渡に伴い本規約上の地位を譲渡できるものとします。本規約の日本語版と英語版の内容に相違がある場合は英語版が優先します。ただし、日本の法令により日本語版が優先される場合はこの限りではありません。
